TRANSACTION ADVISORY FOR THE CONCESSION OF MECHATRONICS TRAINING CENTER(S)
REQUEST FOR EXPRESSION OF INTEREST (EOI) FROM TRANSACTION ADVISORY COMPANIES
1. INTRODUCTION
The National Automotive Design and Development Council (NADDC of the Council)) was established with a primary objectives to promote local capacity building in the automatic sector, encourage investments, and drive technological advancements in the country’s automotive industry. In line with the agency’s drive to revitalize and expand the automotive sector in Nigeria, the council has developed frameworks/initiatives to attract investments, encourage local manufacturing and assembly, and promote technological advancement within the automotive industry. Pursuant to the foregoing, the NADDC has developed Mechatronics Training Centers across various locations in Nigeria, and is desirous of inviting interested firms or consortiums to participate in the qualification process to become Transaction Advisers for the project.
2. PROJECT BRIEF
The National Automotive Design and Development Council (NADDC) and Mechatronics Training Centre(s) in compliance with the guidelines of the Infrastructure Concession Regulatory Commission (ICRC) now seeks the services of a Transaction Adviser to provide a broad range of advisory services for the concession of the under listed Mechatronics Training Centre(s) and hereby invites qualified and experienced firms/consortiums to express interest in providing such services

3. PROJECT OBJECTIVE
The overall objective of the proposed Public Private Partnership arrangement would be the successful selection of concessionaires with the requisite experience, managerial capability, technical and financial resources to partner with the Council for the purpose of operating and maintaining the Automotive Mechatronics Training Skills Centres. The services to be provided by the Transaction Adviser include the following: preparation of and Outline Business Case (OBC) in line with the National Policy on PPP (N4P), Preparation of Full Business Case (FBC), including PPP transaction structuring to complete project PPP development, provide market trends that will confirm decisions on scope, structuring and timing of transaction, Assist in designing of project work plan, timetable, management of the procurement and evaluation process and support to the project Delivery Team (PDT), Preparation of Information Memorandum and tender documentation (including concession contract, etc). Readiness for market assessment, support project marketing. Organization and preparation where necessary of supporting documentation to be made available to bidders (including technical analysis), Preparation of bidding documents, draft Concession Agreement and assist in negotiation with preferred bidder prior to contract award, Management of other advisory inputs and overall management of the advisory team to ensure a successful transaction, social safeguards and environmental issues.
4. SUBMISSION OF EXPRESSION OF INTEREST
Prospective bidders are hereby invited to submit Expression of Interest (EOIs) detailing the following as bases for prequalification;
a) Evidence of certificate of Incorporation issued by Corporate Affairs Commission (CAC) including Forms CAC 1.1 or CAC2 and CAC7. Business Name with Form BN1 is also acceptable for services;
b) Evidence of Company’s Income Tax Clearance Certificates (or Personal Income Tax Clearance Certificate of all Partners in case of Business Name) for the last three (3) years valid till 31st December 2024; with minimum average annual turnover of N20 million;
c) Evidence of Pension Clearance Certificate valid till 31st December, 2024 (this requirement is only applicable to bidders whose number of staff is 15 and above).
d) Evidence of Industrial Training Fund (ITF) Compliance Certificate valid till 31st December, 2024 (this requirement is only applicable to bidders whose number of staff is 5 and above or the bidder’s annual turnover is N50m and above);
e) Evidence of current Nigeria Social Insurance Trust Fund (NSITF) Compliance Certificate valid till 31st December, 2024;
f) Evidence of Registration on the National Database of Federal Contractors, Consultants and Service Providers by submission of Interim Registration Report (IRR) expiring on 31/12/2024 or valid Certificate issued by BPP;
g) Sworn affidavit
• disclosing whether or not any officer of the relevant committees of the National Automotive Design and Development Council or Bureau of Public Procurement (BPP) is a former or present Director, shareholder or has any pecuniary interest in the bidder and to confirm that all information presented in its bid are true and correct in all particulars;
• That no director has been convicted in any county for any criminal offence relating to fraud impropriety or criminal misrepresentation of falsification of facts relating to any matter.
• That the company is not in receivership, the subject of any form or bankruptcy proceedings of the subject of any form of winding up petition or proceeding
h) Company’s Audited Accounts for the last three years (2021, 2022 & 2023)
i) Verifiable documentary evidence of at least three (3) similar jobs executed in the last five (5) years including letters of awards, valuation certificates, job completion certificates and photographs of the projects;
The experience shall include:
i. Previous experience in advisory capacity in the past ten (10) years;
ii. Extensive knowledge and experience in advising government in the structuring of PPP transaction in Nigeria.
j) Reference letter from a reputable commercial bank indicating willingness to provide credit facility for the execution of the project when needed;
k) Company’s profile with the curriculum Vitae of key staff to be deployed for the project, including copies of their academic/professional qualifications.
l) For Joint Venture/Partnership, Memorandum of Understanding (MoU) should be provided (CAC, Tax Clearance Certificates, Pension Clearance Certificate, ITF Compliance Certificate, NSITF Clearance Certificate, IRR & Sworn affidavit are compulsory for each JV Partner);
Note: All documents for submission must be submitted with a Covering/Forwarding letter under the Company’s letter head paper bearing amongst others, the Registration Number (RC) as issued by the CAC, Contact Address, Telephone Number (preferably GSM No) fax and email address. The letter head paper must bear the Names and Nationalities of the Directors of the company at the bottom of the page, duly signed by the authorized officer of the firm.
5. METHOD OF SUBMISSION
Each EOI should be submitted in four (4) copies with one original and three photocopies and marked at the Top Left hand of the envelope “Expression of Interest Transaction Advisory Services for the Concession of Mechatronics Training Centre(s)” stating the Lots, Project and Geo-Political Zone. The lead firm’s name should be clearly printed on the reverse side of the envelope. A digital copy in PDF format stored on a readable digital media, preferably flash drive (no CDs/DVDs) must also be included.
NOTE: Interested firms/consortiums are allowed to submit Expression of Interest for a maximum of two locations.
Each EOI should be addressed and hand-delivered, not later than 12:00 noon (Nigerian Time) on or before Tuesday, April 23, 2024 at the following address:

Prospective bidders and interested applicants may obtain further information at the address above between 9.00am and 4.pm, Mondays through Fridays (except on public holidays). Expression of Interest through email or fax will not be entertained.
6. OPENING OF EOI
The submitted expression of interest document will be opened immediately after the deadline for submission at 12:00 noon Tuesday, April 23, 2024 at the Conference room of the Council in the presence of bidders or their representatives.
7. IMPORTANT NOTICE
a. Interested international parties are encouraged to partner with local firms in compliance with the requirements of the Federal Government of Nigeria local content development policy.
b. Only shortlisted Applicants at EOI’s evaluation will be invited at a later date for collection of Request for Proposals.
c. Late submissions will be returned un-opened.
d. Submissions shall be in English language only.
e. The NADDC reserves the right to verify the authenticity of any claims made in the documents submitted by the companies.
8. DISCLAIMER
a. This notice shall not be construed to be a commitment on the part of the NADDC to award any form of contracts to any respondent(s) nor shall it entitle any organization submitting document to claim any indemnity from the Council.
b. This Invitation for Expression of Interest does not in any manner constitute an agreement and is neither an offer of the Concession to the prospective applicants/operators or any other person.
c. The NADDC will not be responsible for any costs or expenses incurred by any interested party(ies) in connection with any response to this invitation and/or the preparation or submission in response to an enquiry.
d. The NADDC is not bound to shortlist any bidder and reserves the right to annul the selection process at any time without incurring any liability and assigning any reason thereof.
